TERMS OF PURCHASE AND SALE OF MAW TOKENS

These Terms of Sale of MAW Tokens. (hereinafter referred to as the Terms) are expressly incorporated into and are part of the User Agreement of Agroholding URRA LLC (hereinafter referred to as the User Agreement). These Terms and the User Agreement govern your legal relationship with Agroholding URRA LLC for the purpose of participating in the purchase of MAW Tokens (hereinafter referred to as the MAW ICO Platform), which is conducted by Agroholding URRA LLC (hereinafter referred to as Agroholding URRA) through its ICO Platform MAW using the website https://ico.agrourra.com (hereinafter referred to as the Site), as well as any other services provided by Agroholding URRA LLC and related to the specified MAW TOKEN SALE (hereinafter referred to as the MAW ICO Platform, The Site and such services are referred to as the "Services"). By participating in the acquisitions and purchases of MAW TOKENS, You agree to be bound by these Terms and the User Agreement, and in the event of any inconsistency between the Terms and the User Agreement, these Terms shall prevail until the Transaction Date, and from the Transaction Date, the User Agreement shall prevail. Any of your possible legal relations with Agroholding URRA LLC, OGRN 1166952058052 acting on the basis of the Charter (hereinafter referred to as the Issuer), which is the issuer of the MAW Token (hereinafter referred to as the MAW Token), are always governed by the conditions applied by the Issuer, which are published by the Issuer at the following link https: //ico.agrourra.com/terms-and-condition or any other place specified by the Issuer. By participating in the TOKEN SALE, You also agree to be bound by the terms and conditions that apply to Your legal relationship with the Issuer. Agroholding URRA is not responsible for any special bonuses provided by the Issuer to the buyers of the Token, which are described by the Issuer at https://ico.agrourra.com for convenience. Any such bonuses can only represent a legal relationship between you (as a buyer of Tokens) and the Issuer, which, with the technical support of Agroholding URRA, provides Users with information about such bonuses at the link https://ico.agrourra.com. For the purposes of your participation in the ICO MAW platform in the purchase of MAW TOKENS, as well as for the purposes of your participation in any Transactions and/or Deposits/Withdrawals of Funds on https://ico.agrourra.com, as well as for the purposes of any of your legal relations with Agroholding URRA ”, these Terms and the User Agreement take precedence over any terms applied by the Issuer in relation to the MAW Token.

BY PARTICIPATING IN THE TOKEN SALE AND BY BUYING OR OWNING TOKENS, YOU ARE VOLUNTARY PARTICIPATE IN A COMPLEX AND RISK FINANCIAL TRANSACTION. You also confirm that you know many risks associated with the use of services, participation in selling tokens, buying tokens or ownership of them, and with the commission of cryptocurrency, including, but not limited to, risks of material damage, technological failures (including, but not LIMITED TO ISSUES WITH BLOCKCHAIN TECHNOLOGY AND DISTRIBUTED REGISTER TECHNOLOGY) AND COMPUTER ATTACKS. "AGROHOLDING URRA" DOES EVERYTHING POSSIBLE TO ENSURE SAFETY AND PROVIDE SYSTEMS DEVELOPED WITH THE LATEST ACHIEVEMENTS OF SCIENCE AND TECHNOLOGY. At the same time, some questions and risks cannot be completely eliminated, and if appropriate issues or problems arise in connection with the use of "Agroholding Urr" services, including those relating to the acquisition of tokens in the process of selling tokens, on their solution can IT WILL TAKE A FEW DAYS, WEEKS OR MONTHS, AND SOME OF THE ISSUES MAY REMAIN UNRESOLVED. 1. AMENDING THE TERMS
Agroholding URRA may amend these Terms at any time at its sole discretion by notifying such changes, for example, by e-mail, by sending a notification about it through the Services, or by updating the "Effective Date" at the top of these Terms. It is important that you review the Terms if and when they are modified, as by accessing, continuing to access the Services, or using them to participate in the MAW TOKEN SALE, you signify your acceptance of the modified Terms. If You do not agree to any changes to these Terms or otherwise do not agree to be bound by the changed Terms, You must stop using the Services and may not participate in the TOKEN SALE. "Agroholding URRA" recommends that you frequently review the Terms ii to ensure that you understand the terms and conditions applicable to the TOKEN SALE. COMPLIANCE
2.1. General Requirements
Only Account holders on the MAW ICO platform at https://ico.agrourra.com and who meet the criteria described in these Terms and are over 18 years of age can participate in the purchase of MAW TOKENS. Note: The purchase of MAW TOKENS takes place in the format of a transaction in the form of a Donat (free donation) in the acquisition of MAW TOKENS, the distribution of MAW Tokens, and the receipt of MAW TOKENS. You represent and warrant that you: are not located in, or are not a citizen or resident of, any of the Restricted Territories set forth in clause 2.2 below. your use of our Services has not been previously suspended or prohibited for you.2.2. restricted territories You may not participate in the TOKEN SALE if you: are or are a US citizen or resident, or an entity in which the US citizen and/or US resident has a 10% or more interest; identified by the Office of Foreign Assets Control as a "Special Designated Person" or otherwise included on the Sanctions List in any jurisdiction; are on the U.S. Department of Commerce's Prohibited Persons List; are a citizen or resident of any country blacklisted by the FATF; are a citizen, resident and/or tax resident of one of the following jurisdictions: The United States of America, including all US territories such as Puerto Rico, American Samoa, Guam, North Mariana Island, and the US Virgin Islands (Saint Croix, Saint John and Saint Thomas); are a citizen, resident and/or tax resident of one of the countries or territories where cryptocurrencies are prohibited or have no legal status or where you cannot be admitted to the TOKEN SALE due to various tax and/or regulatory aspects; included in lists of trade or economic sanctions, such as the United Nations Security Council sanctions list.
You also may not participate in the TOKEN SALE if you are located in or are a citizen or resident of any state, country, territory or other jurisdiction (i) subject to widespread, geographically targeted sanctions by the United Nations. You may not participate in the TOKEN SALE if you are located in or are a citizen or resident of any state, country, territory or other jurisdiction where your participation in the TOKEN SALE would be illegal or otherwise violate any applicable Law. You also may not participate in the TOKEN SALE if you are a citizen or resident of any other jurisdiction where https://ico.agrourra.com, in its sole discretion, has prohibited participation in the TOKEN SALE. You represent and warrant that You are not a citizen or resident of any such jurisdiction, that You will not participate in the TOKEN SALE while in any such jurisdiction (including those limited by https://ico.agrourra.com in its sole discretion), and that you are not included in any other list of trade or economic sanctions. https://ico.agrourra.com may apply controls to restrict participation in the TOKEN SALE from any jurisdiction prohibited under this clause 2.2. You agree that you will comply with this clause 2.2 even if https://ico.agrourra.com's measures to prevent participation in the TOKEN SALE are ineffective or can be circumvented.3. BUYING A TOKEN
3.1. TOKEN SALE Term
Start date of TOKEN SALE: 05/16/2022, 11:00 pm (in Moscow time format). The total number of Tokens available under the TOKEN SALE (hereinafter referred to as the "Upper Limit") will not exceed 100,000,000 (one hundred million) Tokens (hereinafter referred to as "MAW"). The TOKEN SALE is expected to remain open until one of the following events, when 10,000,000 (ten million) Tokens are reached.
3.2. Token Price
The price of one Token is 0.010 BNB until 11/08/2022 During the TOKEN SALE, the price for the MAW Token will be denominated in BNB based on the BNB/USD exchange rate, which will be available at https://ico.agrourra.com on the start date of the TOKEN SALE specified in clause 3.1 above.
3.3. Funding
In order to purchase Tokens during the TOKEN SALE, you must first open your wallet supporting the Smart Chain blockchain network, then transfer or fund your MetaMask wallet or any wallet available to you that supports the Smart Chain blockchain network, fund the available Cryptocurrency th, then add your digital wallet that supports the Smart Chain blockchain network to your profile on https://ico.agrourra.com or pay for tokens on the ICO MAW platform, or request an invoice for non-cash payment to the settlement account of Agroholding URRA
3.4. Orders; Shopping
"Purchase" is a transaction during the TOKEN SALE, which is concluded between you and Agroholding URRA, which acts as an issuer of the MAW Token in accordance with the User Agreement, through which you transfer your Crypto currency or non-cash funds and receive MAW Tokens, in which the legal title to the Tokens passes to You from https://ico.agrourra.com at the time the Tokens are credited to Your account on https://ico.agrourra.com. A "TOKEN SALE Order" is created when You enter an instruction to make a Purchase using the Services. When You enter an Order under a TOKEN SALE, You irrevocably agree to purchase the number of Tokens specified in Your Order in accordance with such Order. You agree to pay https://ico.agrourra.com any applicable Purchase fees and authorize https://ico.agrourra.com to deduct any such fees from Your Account.
3.5. No brokerage or fiduciary relationship
The site https://ico.agrourra.com is not your broker, intermediary, agent or consultant and has no fiduciary relationship or obligation to you in connection with any TOKEN SALE Order or Purchase, or other decisions or actions taken by you using the Services or related to the TOKEN SALE. No message or information provided to you by https://ico.agrourra.com is intended to, and should not be construed as, advice. Please see the full list of risks in Section 4 that you must consider when deciding whether to participate in the TOKEN SALE or use the Services.
3.6. Order Confirmation
Your Order will be placed after confirming the summary of Orders within the TOKEN SALE via https://ico.agrourra.com on the MAW ICO Platform. Notwithstanding the foregoing, You agree that the provision of such confirmation by the Services shall not prejudice or void any TOKEN SALE Order entered by You or any Purchase made pursuant to such Order.
3.7. Minimum Order;
Maximum Buy The minimum order size is 1 (one) MAW Token. In the event that you attempt to place an Order under the TOKEN SALE for an amount less than the minimum Order size under the TOKEN SALE, MAW will reject such Order and will not allow it to be placed. The maximum number of Tokens available for purchase by 1 (one) User during the TOKEN SALE cannot exceed the equivalent of 500,000 BNB. In the event that you attempt to place one or more Orders as part of the TOKEN SALE, the total number of Tokens for which (s) exceeds the maximum number of Tokens available for purchase by 1 (one) User during the TOKEN SALE, https://ico.agrourra .com will limit Your Order(s) in the TOKEN SALE to the maximum number of Tokens that can be purchased by one (1) User during the TOKEN SALE. The maximum number of Tokens that will be available for purchase during the TOKEN SALE will not exceed the equivalent of 10,000,000 (ten) million MAW Tokens.
3.8. Transactions
Withdrawals, Deposits or Transactions with the Token using the Services are prohibited until https://ico.agrourra.com issues a separate notice of the commencement of the Transactions with the Token, which is expected to occur no earlier than 16 May 2022 (“Transaction Date”). During the period between the Token Purchase and the Transaction Date, You will not be able to Deposit, Withdraw Funds or make any Transactions with Your Tokens using the Platform and/or the Services. https://ico.agrourra.com may restrict or prohibit Withdrawals or Deposits in Tokens after the Transaction Date to ensure an orderly trading market for the development of the Token and You will not be able to transfer or withdraw some or all of Your Tokens during this period. https://ico.agrourra.com shall not be liable for any losses incurred by you as a result of your inability to transfer, Withdraw Funds or make Transactions with Tokens during this period, or for any other losses during this period. You acknowledge that the valuation of the Token and the exchange rates during any period during which Deposits and Withdrawals in Tokens are restricted or prohibited may differ significantly from the valuations and rates prior to such event.
3.9. Cancellations
All TOKEN SALE Orders placed to purchase Tokens during the TOKEN SALE are final. You may not cancel any Order under the TOKEN SALE after you have submitted such an Order as part of the TOKEN SALE.
3.10. Insufficient amount of means of payment
If there are not enough funds in your Account to complete your TOKEN SALE Order, https://ico.agrourra.com will limit your TOKEN SALE Order to the number of Tokens that can be covered by the amount of funds in your Account (after deducting any fees, payable to https://ico.agrourra.com in connection with the Purchase).
3.11. Conditions and restrictions
https://ico.agrourra.com may, at any time and in its sole discretion, refuse any Purchase request, TOKEN SALE Order or other request related to the TOKEN SALE, impose limits on the amount of Purchases that can be made , on a daily or other periodic basis or otherwise, or impose any other conditions or restrictions on Your participation in the TOKEN SALE or Your use of the Services without prior notice. For example, https://ico.agrourra.com may: (a) limit the number of TOKEN SALE Orders that you may place during the TOKEN SALE; (b) limit the ability to place Orders under the TOKEN SALE from certain locations; or (c) limit the ability to place Orders in the TOKEN SALE or make Transactions if there is a reasonable suspicion of fraud, incapacitation, improper activity, including but not limited to market abuse, or if https://ico.agrourra.com receives a reasonable notice that your ownership of some or all of the funds deposited in your Account with us is disputed.
4. DISCLAIMER; RISK WARNING; ASSUMPTION OF RESPONSIBILITY AT RISK; RELEASE https://ico.agrourra.com ICO MAW platform FROM LIABILITY
4.1. Disclaimer
To the fullest extent permitted by applicable Law, and unless otherwise stated in writing by Platform ICO MAW https://ico.agrourra.com, Tokens are provided by Platform ICO MAW https://ico.agrourra.com through the Services during the TOKEN SALE on an "as is" basis in the Donat format (free donation) and "as available", without any guarantees or representations, and Platform ICO https://ico.agrourra.com expressly disclaims all warranties and representations relating to the MAW Token (whether express or implied), including, without limitation, any implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.
4.2. Risk Warning; Taking responsibility for risks; Releasing https://ico.agrourra.com from liability Participation in the TOKEN SALE, purchase of Tokens and use of any Services provided by https://ico.agrourra.com involves significant risks and potential financial losses, including but not limited to the following: Features, functions, characteristics, operation, use and other properties of the Token (“Token Properties”) and software, networks, protocols, systems and other technologies (including, if applicable, any blockchain) (“Underlying Technology”) that are used to administering, creating, issuing, transferring, canceling, using or transacting with a Token may be complex, technical or difficult to understand or evaluate. The Token and its Underlying Technology may be vulnerable to attacks on the security, integrity, or operation of the Token or its Underlying Technology (“Attacks”), including Attacks using sufficient computing power to overwhelm the normal operation of the blockchain or other Underlying Technology. The MAW Token, the Properties of the Token, or the Core Technology may change or otherwise stop working as expected due to a change made to the Core Technology, a change made using features or functions built into the Core Technology, or a change caused by an Attack. These changes may include, without limitation, “changes to the source code” or “rollbacks” of the Token or blockchain. The Token may be cancelled, lost or doubled, or otherwise lost all or most of its value due to source code changes, rollbacks, Attacks, changes to the Token Properties, or the Token's inability to function as intended. https://ico.agrourra.com may not support, or may suspend or stop supporting, Deposits, Withdrawals, TOKEN SALE or MAW Token Transactions at any time at the sole discretion of https://ico.agrourra.com. Other exchanges and service providers may not support the MAW Token or may suspend or discontinue support for the MAW Token. https://ico.agrourra.com may suspend or reject your TOKEN SALE Order and/or your Transaction, suspend or terminate your access to the Services in order to comply with applicable Laws or regulations or in connection with orders from law enforcement or other other State Authorities, as well as for other reasons specified in these Terms, User Agreement or otherwise at the discretion of https://ico.agrourra.com. The Token may decrease in price or lose all of its value due to various factors, including the discovery of misconduct, market manipulation, changes in the properties of the Token or the perceived value of the Token Properties, Attacks, suspension of support for the Token by https://ico.agrourra.com or other exchanges or service providers, as well as other factors, including, but not limited to, factors beyond the control of https://ico.agrourra.com. The token may decrease in value or lose all of its value due to legislative or regulatory activity or other government actions. Government regulation of Tokens is unspecified and rapidly evolving. You may be prohibited from submitting a request for a TOKEN SALE Order or a Transaction, or https://ico.agrourra.com may not be able to receive your request for a TOKEN SALE Order or a Transaction due to hardware, software or Services issues ( including but not limited to problems connecting to the Internet and other networks). Your request for a TOKEN SALE Order or Transaction or any notice to https://ico.agrourra.com or the Services may be lost, intercepted or altered during transmission. Unauthorized third parties may access or use your Account and execute TOKEN SALE Orders and/or Transactions without your knowledge or permission, whether by obtaining a password to your Account held with us, gaining control of another device or account used by you in connection with any enhanced security measures connected to your account or in other ways. The risks described in this Section 4 may result in the loss of Tokens, the reduction or loss of the entire value of Tokens, the inability to access or transfer Tokens, the inability to trade Tokens, the inability to obtain financial benefits available to other Token holders, and Your other financial losses. You hereby accept and agree that https://ico.agrourra.com does not bear any responsibility for such risks. You hereby irrevocably waive, indemnify and void any and all claims, whether known or unknown to You, against https://ico.agrourra.com, its Affiliates and their respective shareholders, members, directors, officers, employees, agents, assigns, and or Representatives associated with any of the risks set forth herein. You represent and warrant that you have: (a) the necessary technical knowledge and ability to verify and evaluate the security, integrity and operation of the Token if you choose to participate in the TOKEN SALE; and (b) knowledge, experience, understanding, professional advice and information to enable you to independently assess the merits and risks of the Token and the TOKEN SALE. You assume the risk of purchasing a Token using the Services and are responsible for conducting your own independent risk analysis specific to the Token, the TOKEN SALE and the Services. You should not purchase Tokens unless You have sufficient financial resources and cannot afford to lose the entire value of the Tokens. Any decision by https://ico.agrourra.com to support Deposits, Withdrawals, Orders under the TOKEN SALE or Token Transactions on the Platform does not constitute an endorsement or disapproval of https://ico.agrourra.com Token or the integrity, security or operation Token or its Core Technology. The risks associated with the Token and the trading of the Token apply regardless of https://ico.agrourra.com's decision to support the TOKEN SALE. https://ico.agrourra.com does not provide trading recommendations, does not assume fiduciary obligations to you or any other user, and does not make any guarantees regarding the suitability of the Token for purchase, Transactions with them and / or your ownership of them.
4.3. Additional representations and warranties
In addition to clause 2.1 and any other provision of these Terms, you hereby represent and warrant https://ico.agrourra.com that: You have read these Terms and the User Agreement; You are at least 18 years of age, you have the necessary authority, capacity and consent to accept these Terms and the User Agreement and enter into a legally binding agreement with https://ico.agrourra.com; acceptance of these Terms and the User Agreement shall not result in any breach, conflict or material breach of obligations under: (i) any provision of your constituent or organizational documents (in the case of a legal entity, including, without limitation, any company or partnership); (ii) by any provision of any judgment, order or order imposed on you by any court, governmental or regulatory authority; and/or (iii) any material agreement, undertaking or obligation to which you are a party or to which you are bound; You have a reasonable understanding of the functions, uses, storage, transfer mechanisms, and complexities associated with cryptographic tokens, token storage media (including digital token wallets), blockchain technology, and blockchain-based software systems; You have received sufficient information about the possible future use and functionality of the Token to make an informed decision to participate in the TOKEN SALE in accordance with these Terms and the User Agreement; You understand that the Tokens do not confer any rights with respect to https://ico.agrourra.com and/or the Issuer, including but not limited to any voting, distribution, redemption, liquidation, ownership (including all forms of intellectual property rights ) or other financial or legal rights; You are eligible to participate in the TOKEN SALE in accordance with these Terms and the User Agreement; You are not participating in the TOKEN SALE for any investment, speculative or other financial purposes; any funds transferred by you for the purchase of Tokens were not obtained as a result of illegal activities related to, but not limited to, money laundering or terrorist financing, and you also undertake to provide any and all necessary documentation to confirm the source, if and when required by https ico.agrourra.com; You must not use any Tokens to finance, participate in or otherwise support any illegal activity; placing an Order, Purchasing Tokens and receiving Tokens in accordance with these Terms and the User Agreement is not illegal or prohibited under the Laws of Your jurisdiction or the Laws of any other jurisdiction that may apply to You, and any such Order or Purchase must be made in full compliance with with applicable Laws (including, but not limited to, in accordance with any tax obligations that may apply to you in any relevant jurisdiction); You will comply with any applicable tax obligations in Your jurisdiction arising from the acquisition, holding, sale or transfer of any Tokens; You understand and accept the risks of participating in the sale of Tokens associated with blockchain startups and acknowledge that these risks are material; You understand that the Tokens only provide rights to access and use the services and products provided by the Issuer and do not have any attributes that provide the holder with equity rights, creditor rights or similar rights. Tokens should not be considered as an investment of any type, including but not limited to any currency or securities, and you should not expect to receive any type of profit from the acquisition of Tokens or purchase Tokens for any investment purposes; as well as all of the above representations and warranties are true, complete, accurate and not misleading from the time you accept these Terms and your participation in the TOKEN SALE, including at the time of entering any of your Orders in the TOKEN SALE or executing a Transaction on the Platform.
5. PAYMENT
You agree to pay https://ico.agrourra.com the fees indicated at https://ico.agrourra.com in connection with your purchase of any Tokens during the TOKEN SALE. You authorize https://ico.agrourra.com to debit funds or other tokens from Your Account in order to pay any applicable fees due to You in accordance with these Terms.
6. CHANGES; TEMPORARY SUSPENSION; TERMINATION
6.1. TOKEN SALE Changes
https://ico.agrourra.com may, in its sole discretion and without any liability to you, with or without prior notice, at any time change or discontinue, temporarily or permanently, the TOKEN SALE or all or any part of any Services provided in connection with the TOKEN SALE or otherwise.
6.2. Temporary suspension or termination
https://ico.agrourra.com may, in its sole discretion and without any liability to you, with or without prior notice and at any time, temporarily suspend or permanently terminate your access to all or part of the Services in connection with the TOKEN SALE or otherwise.
6.3. Lack of responsibility
https://ico.agrourra.com shall not be liable for any losses incurred by you as a result of any changes to any of the Services, in connection with the TOKEN SALE or otherwise, or as a result of the suspension or termination of your access to all or part of any Services in connection with the TOKEN SALE or otherwise (whether under this Section 6 or for any other reason). You acknowledge that as a result of any such changes, suspension or termination, You will not be able to Purchase any Tokens or as many Tokens as You might otherwise have acquired (through a Purchase) during the TOKEN SALE. If and when the Services resume, you acknowledge that the Token valuation and exchange rates may differ significantly from the valuations and rates prior to such event.7. APPLICABLE RIGHT; ARBITRATION
The interpretation and application of these Terms, and any dispute related to these Terms of the MAW TOKEN SALE, shall be governed by and construed and enforced in accordance with the laws of Russia, without regard to conflict of law rules or principles (whether in Russia or any other jurisdiction ), which would entail the application of the laws of any other jurisdiction. In the event of any disputes on the issues provided for in this Agreement, the Parties will take all possible measures to resolve them through negotiations. If the Parties cannot reach an agreement through negotiations, any dispute arising out of or related to this Agreement, including any questions relating to the nature, existence, validity or termination of this Agreement, shall be considered and finally resolved in accordance with the Rules of the Arbitration Court (Tverskoy region) in the version valid at the time of consideration. The place of Arbitration is Russia, the city of Tver. Arbitration is conducted in Russian, the decision is executed in Russian. The Parties agree that information about the arbitration, including, but not limited to, information about any arbitration award, is considered confidential and is not disclosed to third parties without the written consent of the Parties, unless required by law. This decision is final and binding on both Parties and may be invoked or enforced in any court having proper jurisdiction; an application concerning enforcement may be brought before such competent court, if necessary.
In the event of any disputes regarding the execution or interpretation of this Agreement that cannot be resolved amicably or by arbitration, https://ico.agrourra.com has the right to demand resolution of the dispute in the Court at the location of Agroholding URRA LLC.8. FINAL PROVISIONS
8.1. The exhaustive nature of the treaty
These Terms and User Agreement contain the entire agreement between you and Agroholding URRA LLC and supersede all prior and contemporaneous agreements between the parties regarding the MAW TOKEN SALE.8.2. Autonomy of treaty provisions If any provision of these Terms is or becomes (whether by judgment or otherwise) invalid, illegal or unenforceable in any respect under the Law of any jurisdiction: (i) validity, legality and enforceability in under the Law of that jurisdiction any other provision; and (ii) the validity, legality, and enforceability under the Law of any other jurisdiction of this or any other provision will therefore not be affected or impaired. If any court or State Authority finds that any provision of these Terms (or part of any provision) is invalid, illegal or unenforceable in any respect, that provision or part thereof will, to the extent required extent, shall be deemed to be deleted, and the validity and enforceability of the other provisions of the Terms will not be affected.
